May 18, 2026 – Crestline Advisory maintains a short position in Meridian Lending Group (LSE). Based on our review of regulatory publications, court rulings, industry claims data, and company disclosures, we believe investors are materially underestimating the scale of potential liabilities associated with the regulator’s proposed customer restitution program.

The company currently reports reserves that, in our view, assume a relatively benign outcome. However, precedent from recent litigation and the broad scope of affected lending products suggest a considerably wider range of potential losses. Under our scenario analysis, Meridian’s ultimate obligation could exceed current provisions by a substantial margin.

This distinction matters because the firm’s capital position leaves limited room for error. Over recent years, management has undertaken a series of actions aimed at protecting regulatory capital, including asset disposals, balance-sheet optimization initiatives, and the suspension of shareholder distributions. While these measures have improved near-term flexibility, they do not eliminate the underlying liability risk.

Our “North Star” framework estimates potential remediation costs of between £450 million and £5.3 billion, compared with reserves presently recognized of roughly £1.2 billion. While the lower end of this range may be absorbable, more adverse outcomes could significantly weaken the group’s capital ratios and alter the investment case entirely.

Should additional provisions become necessary, Meridian may face increasing pressure from regulators, rating agencies, and funding markets. Capital instruments could come under scrutiny, financing costs may rise, and management could be forced to pursue further restructuring actions to preserve compliance with minimum regulatory requirements.

We believe the key issue is not whether additional costs will emerge, but whether the market has adequately considered the consequences if those costs prove materially larger than current expectations. In our assessment, it has not.

Component supplier payment terms have deteriorated from net-30 to net-90+ on average, a pattern consistent with cash conservation under duress. Three suppliers we contacted directly confirmed invoices outstanding beyond 150 days — a material working capital red flag not visible in published filings.
